Acceptance

By accessing or using CitationShield, you agree to these Terms. If you are using CitationShield on behalf of a firm or organization, you represent that you have authority to bind that organization, and "you" includes that organization.

What CitationShield is — and is not

CitationShield is a software-as-a-service tool that verifies legal citations in documents you upload. It is not a law firm, does not provide legal advice, and does not replace any element of an attorney's professional judgment. Use of the service does not create an attorney-client relationship between you and CitationShield.

Verification results are advisory. A "verified" status indicates that the citation maps to a record in our authoritative source(s) at the time of the run. It does not certify that the cited authority supports the proposition for which it is offered, that the case remains good law, or that any subsequent treatment (overruled, reversed, distinguished) has been considered. Those judgments remain with counsel.

Your responsibilities

Confidentiality

We treat customer briefs as Confidential Information. We do not access them except as required to deliver the verification or as authorized by you in writing for support. Subprocessors are bound by data-protection terms. See the Privacy Policy for details.

Fees, billing, and trials

Subscription fees are billed in advance per the plan you select. Free trials are 14 days, no credit card. Annual billing is offered at a discount. You may cancel any time; cancellations take effect at the end of the current billing period. We do not refund prior periods except where required by law.

Service availability

We target 99.9% monthly uptime for the verification service. Scheduled maintenance windows are announced in advance. SLA credits are available on Enterprise plans.

Warranty disclaimer

The service is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or will catch every fabricated, mis-cited, or otherwise problematic citation.

Limitation of liability

To the maximum extent permitted by law, our aggregate liability under these Terms shall not exceed the fees you paid to us in the twelve months preceding the event giving rise to the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or sanctions, costs, or fees imposed by any tribunal.

Indemnification

Each party will defend and indemnify the other for third-party claims arising from its breach of these Terms, subject to standard procedural conditions.

Governing law and venue

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws principles. Disputes will be resolved in the state or federal courts located in Delaware, except that either party may seek injunctive relief in any court of competent jurisdiction.

Changes

We may update these Terms. Material changes will be communicated to account owners 30 days before taking effect.
